Kartable Platform- Terms & Conditions for Buyers
Thank you for choosing to use Kartable Platform.
By using our Platform to purchase Products from Trusted Vendors, you agree to the following Terms & Conditions (Terms):
1. Definitions
In these Terms:
- Checkout Summary: A summary of your purchase displayed before you confirm your order.
- Kartable: Refers to KARTABLE PTY LTD (ACN 679 921 209).
- Platform: The online platform called 'Kartable' provided by KARTABLE, enabling transactions between buyers and Trusted Vendors and associated services.
- Product: Any goods or services available for purchase from a Trusted Vendor on the Platform.
- Product Page: A page listing the details of a specific Product for sale on the Platform.
- Sale Terms: A Trusted Vendor's terms and conditions for the sale of its Product, including price, delivery charges and timing, etc.
- Trusted Vendor: Independent third-party sellers offering Products for sale on the Platform.
- You: The person or entity who buys Product from a Trusted Vendor.
2. Platform Overview
- The Platform is an online procurement platform where you can browse and purchase Products from Trusted Vendors.
- The sale and supply of Product bought by you will be handled directly by the Trusted Vendor according to its Sale Terms.
- Kartable does not supply any Product and is not a party to the sale contract between you and a Trusted Vendor.
3. Your Order
- When you place an order for Product, you are making an offer to buy the Product from the relevant Trusted Vendor. A legally binding contract will be formed between you and the Trusted Vendor when a commitment to pay is actioned, such as when you acknowledge that you have approval from your employer or business owner to create a purchase order, followed by the Trusted Vendor or Kartable sending you an email order confirmation.
- If purchasing Products from multiple Trusted Vendors, you agree to enter into a separate contract with each of those Trusted Vendors for the Products being purchased from each.
- All orders are subject to availability and may be altered by the Trusted Vendor after confirmation. Kartable disclaims all liability that may arise out of such actions by a Trusted Vendor.
- The Sale Terms applicable to a Trusted Vendor's Product will be presented on the Product Page for you to accept before you checkout.
- Any decision made by you to purchase Product from a Trusted Vendor is entirely at your own risk.
4. Product Information
Due to limitations in photography and screen display, you acknowledge that the actual Product being sold by a Trusted Vendor may vary slightly in appearance, such as colour.
5. Pricing and Payment
- All prices for Products sold on the Platform are shown in Australian dollars (AUD) and include GST, unless otherwise specified.
- Payment or purchase commitment is completed at the Platform checkout using one of the available payment methods.
- Kartable operates a subscription-based model, and we do not take a commission on the sale of Products between Buyer and the Trusted Vendor.
- Subscription fees and pricing model are correct at the time of entry but subject to change in the future should Kartable alter its pricing model or charges. Kartable will notify you of any adjustments in advance, ensuring full compliance with applicable consumer protection laws. You may cancel your subscription with Kartable if you do not agree to any changes made to its pricing model or charges.
6. Delivery and Fulfilment
- Trusted Vendors are solely responsible for delivering the Products to you. The Product Page will display available delivery options, costs, and expected lead times.
- Delivery methods will be displayed prior to order completion.
- Best attempts to notify you when the Product is dispatched by the Trusted Vendor will be made.
- If delivery to you is delayed for reasons beyond the reasonable control of the Trusted Vendor, you may contact the Trusted Vendor to request a refund or cancel the order which will be dealt with according to its Sale Terms. Kartable accepts no liability if the Trusted Vendor does not deliver the Product or does not provide a refund to you.
- It is your responsibility to ensure there is clear access for delivery, and a person must be available to accept the delivery. If the delivery of Product cannot be completed due to a failure by you, then subject to the Trusted Vendor Sale Terms, additional delivery charges may apply, or the order may be cancelled.
7. Trade Accounts
- You may request a trade account with a Trusted Vendor by completing a trade account request form and submitting it to the Trusted Vendor via the Platform. Once received, the Trusted Vendor is responsible for completing any checks required by it (outside the Platform) before approving or refusing your request for a trade account. The Trusted Vendor reserves the right to decline or suspend your trade account should they deem necessary. Kartable is merely a facilitator of this information but has no party in offering a trade account between Trusted Vendor and Buyer.
- If your request for a trade account is approved by the Trusted Vendor and you have accepted any ‘Terms’ required by the Trusted Vendor, you will be able to purchase Product from the Trusted Vendor via the Platform for the Trusted Vendor to fulfil. Alternative payment methods such as Credit card are available.
- Delivery to you, can be coordinated within the platform, though, will be in accordance with the Sale Terms set by the Trusted Vendor and managed outside the Platform by the Trusted Vendor.
- Payment for trade term purchasing will be managed by the Trusted Vendor outside the Platform. Credit Card payments can be made directly inside the platform between the Buyer to the Trusted Vendors linked Stripe account.
8. Title and Risk
Subject to the Sale Terms of a Trusted Vendor, title to and risk of loss or damage in the Product you buy will pass to you once the Product is delivered to you.
9. Warranties and Liability
- All Products are subject to guarantees under Australian Consumer Law, including a remedy for major product failures, repairs, replacements, or refunds.
- Manufacturer warranties may be included, but these are separate from Kartable's responsibilities.
- You should carefully read the Sale Terms of the Trusted Vendor from who you buy Product to understand what warranties are given and how liability is limited.
- Kartable is not liable for any warranty claims beyond what is required by law. Trusted Vendors are responsible for resolving any issues with the Product’s quality or functionality in accordance with their Sale Terms and the Australian Consumer Law.
- Upon receiving your Product, you should inspect it promptly for defects, discrepancies, or damage. If any issues arise, contact the Trusted Vendor directly.
10. Refunds and Returns
- Each Trusted Vendor has its own refund and return policy, which can be found on the Product Page. You may also contact the Trusted Vendor directly via the Kartable platform 'Chat' function or through the contact details provided in your order confirmation.
- If you are unable to resolve a dispute with the Trusted Vendor regarding returns or refunds, please contact Kartable at contact@kartable.com.au for further assistance.
11. Trusted Vendor-Cancelled Orders
- A Trusted Vendor may cancel your order in full or part under the following conditions:
- if the Product is out of stock after your order is confirmed;
- if the price or Product description is found to be incorrect;
- if fraud or suspicious activity related to payment is detected; and/or
- if the Trusted Vendor suspects you are purchasing its Products for resale without the appropriate license.
- If your order is cancelled by a Trusted Vendor, a refund will be issued for the amount paid.
12. Dispute Resolution
If you experience any issues with a Trusted Vendor and are unable to resolve the matter directly, please contact Kartable at contact@kartable.com.au. We will assist in resolving your complaint.
13. Privacy
- Kartable collects personal information to process your Product orders and facilitate purchases from Trusted Vendors.
- By placing an order for Product, you consent to Kartable sharing your personal information (such as name, contact details, and delivery address) with the Trusted Vendor and any relevant third parties (e.g., delivery contractors).
- Kartable's Privacy Policy, outlining how we collect, use, and protect your data, can be found on our website: kartable.com.au
14. Exchange Vouchers
Exchange vouchers issued by Trusted Vendors can only be used for future purchases from that same Trusted Vendor. These vouchers are non-transferable and cannot be used for purchases from other Trusted Vendors or for unrelated items on the Platform.
15. Inconsistency with Other Policies
These Terms, together with Kartable's policies (e.g., Privacy Policy) and any Sale Terms used by Trusted Vendors apply to your use of the Platform and purchase of Product. In the event of any inconsistency between those documents, these Terms will take precedence to the extent of the inconsistency.
16. Limitations of Kartable's Role
- Kartable is a platform provider and acts only as an intermediary. Kartable does not supply Products or directly participate in the sale transaction between you and a Trusted Vendor except as the facilitator of order placement. We are not the supplier of the Product and do not control the commercial aspects of the transaction, including product information, pricing, quality, or delivery. The Trusted Vendor is solely responsible for the quality of the Products, their supply to you and their fitness for purpose.
- To the fullest extent permitted by law, Kartable does not make any representations or warranties regarding:
- the accuracy or completeness of information provided by Trusted Vendors on the Platform;
- the quality, authenticity, or suitability of Products sold by Trusted Vendors;
- the expertise, reliability or financial standing of Trusted Vendors; or
- the Platform, including that its operation will be uninterrupted, error-free, secure or free from viruses.
- If your rights under the Australian Consumer Law or any other applicable law (Your Consumer Rights) require us to take responsibility for loss in relation to a Trusted Vendor then, to the extent permitted by Your Consumer Rights, our liability is limited to procuring, or paying the cost of, resupplying the relevant Product.
- Subject to Your Consumer Rights, Kartable will not be liable for:
- any form of economic loss, business interruption loss, loss of revenue, profits, anticipated savings, data or opportunity, punitive or other forms of non-compensatory damages and consequential loss; or
- loss or damage arising from your own conduct.
- Nothing in these Terms limits any rights you may have against a Trusted Vendor under any contract that you have with it or pursuant to Your Consumer Rights.
- In facilitating the Platform, Kartable acts as an agent for the Trusted Vendors but does not collect payments on their behalf.
- Kartable reserves the right to remove Trusted Vendors or you from the Platform if Kartable considers that they have failed to comply with applicable law, these Terms or any other Kartable policy.
17. Liability cap
To the extent permitted by Your Consumer Rights, our total aggregate liability for any loss or damage you suffer arising out of or in connection with these Terms is limited to the fee received by Kartable from you to access and use the Platform.
18. Your indemnity
You agree to indemnify Kartable from and against any loss or damage arising out of or connection your:
- breach of these Terms;
- use or misuse of the Platform;
- use of a Product supplied by a Trusted Vendor; or
- decision to purchase a Product from a Trusted Vendor.
19. Intellectual Property Rights and Confidentiality
Unless otherwise indicated, we own or license all intellectual property rights relating to the Platform and all material available on the Platform (Content). You may only use the Platform and view the Content for the purposes of ordering Product from Trusted Vendors in accordance with these Terms. Any other use, copying or reproduction of the Platform, the Content or any part of it is prohibited, except to the extent permitted by law.
19.1. By using the platform, the Buyer confirms they have all rights and permissions to the intellectual property they place on Kartable.
20. Costs
You are responsible for all costs and charges (including from your internet service provider) in accessing and using the Platform.
21. Variations
These Terms may be varied by Kartable at any time and when we do, we will provide notice of the changes on the Platform. You should regularly review the Platform to ensure that you are aware of any changes to these Terms. You agree to be bound by the revised Terms if you keep using the Platform. If you do not agree to the revised Terms, you must immediately notify us and cease using the Platform.
22. Severance
If any part of these Terms is held to be illegal or unenforceable in any jurisdiction, the continuation in full force and effect of the remaining provisions will not be prejudiced.
23. Jurisdiction and governing law
These Terms are governed by the law of Queensland, and you submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in Queensland.

Kartable Platform - Terms & Conditions for Trusted Vendors
BETWEEN: Kartable Pty Ltd (ACN 679 921 209) (Kartable)
AND: The party named as Trusted Vendor in Kartable's Vendor sign-up interface on the Platform (Trusted Vendor)
BACKGROUND
A. Kartable operates the Platform.
B. The Trusted Vendor wishes to offer its Product for sale on the Platform.
C. The parties have agreed that the Trusted Vendor will offer its Product for sale on the Platform on the terms of this Agreement.
OPERATIVE CLAUSES
1. DEFINITIONS AND INTERPRETATION
1.1. Definitions
Agreement: This agreement and the Policies.
Buyer: The person or entity who buys Product from the Trusted Vendor.
Claims: All claims, demands, costs (including legal costs and disbursements), debts, liabilities, damages, losses, actions, proceedings, litigation, investigations or judgments, however arising (including as to being made through any party), of any nature, whether past, present or future, fixed or unascertained, actual or contingent, known or unknown and/or whether quantum can be ascertained or not (including, without limitation, whether or not it is the subject of a court order).
Connected Account: The bank account operated by the Trusted Vendor that is connected through the Stripe online payment gateway via Kartable.
GST Act: A New Tax System (Goods and Services Tax) Act 1999 (Cth).
Platform: The online ordering platform called 'Kartable platform' provided by Kartable, enabling Transactions.
Policies: Kartable's processes, procedures, policies and guidelines (as amended from time to time).
Product: The goods or services available for purchase from the Trusted Vendor on the Platform.
Sale Terms: The Trusted Vendor's terms and conditions for the sale of its Product, including price, delivery charges and timing, refund process, etc.
Transaction: The supply of Product by the Trusted Vendor to a Buyer and all related actions.
1.2. Interpretation
The following rules of interpretation apply unless the context requires otherwise:
- headings are for convenience only and do not affect interpretation.
- no rule of construction shall apply to the disadvantage of any party on the basis that such party prepared this agreement or any part of it, or seeks to rely on this agreement or any part of it;
- a reference to any party to this agreement or any other agreement or document includes the party’s successors, administrators, executors, legal representatives and permitted assigns;
- a reference to any legislation or to any provision of any legislation includes any modification or re-enactment of it, any legislative provision substituted for it and all regulations and statutory instruments issued under it.
2. TRANSACTIONS AND SUPPLY OF PRODUCT
2.1. A Trusted Vendor will purchase a subscription to use Kartable. Following the completion of the free trial period, a Vendor card will be charged once per month for the Subscription amount, the amount is inclusive of gst. A Trusted Vendor can cancel at anytime. Subscription fees and pricing model are correct at the time of entry but subject to change in the future should Kartable alter its pricing model or charges. Kartable will notify you of any adjustments in advance, ensuring full compliance with applicable consumer protection laws. You may cancel your subscription with Kartable if you do not agree to any changes made to its pricing model or charges.
2.2. The Trusted Vendor may in its absolute discretion, accept and conduct a Transaction or not.
2.3. Kartable gives no warranty that the Trusted Vendor will conduct any Transactions or a particular volume of Transactions.
2.4. This Agreement is non-exclusive, and the Trusted Vendor will not be the sole provider of goods or services on the Platform.
3. SALE OF PRODUCT
On acceptance of a Transaction, the Trusted Vendor will be:
- responsible for contracting with the Buyer on its Sale Terms;
- responsible for supplying Product to the Buyer;
- responsible for invoicing the Buyer for the Product fee in accordance with clauses 4 and 5;
- the 'Merchant of Record' for all purposes at law; and
- responsible for collecting GST from the Buyer and dealing with same in accordance with the GST Act.
4. CUSTOMER TRADE ACCOUNTS
- A Buyer may request a trade account with the Trusted Vendor by completing a trade account request form and submitting it to the Trusted Vendor via the Platform. Once received, the Trusted Vendor is responsible for completing any checks required by it (outside the Platform) before approving or refusing the Buyer's request for a trade account. The Trusted Vendor reserves the right to decline or suspend a Buyer trade account should they deem necessary. Kartable is merely a facilitator of this information but has no party in offering a trade account between Trusted Vendor and Buyer.
- If the Buyer's request for a trade account is approved and the Buyer has accepted the Trusted Vendor's required information, the Buyer will be able to purchase Product from the Trusted Vendor via the Platform for the Trusted Vendor to fulfil.
- Delivery, can be coordinated within the platform, though, will be in accordance with the Sale Terms set by the Trusted Vendor and managed outside the Platform by the Trusted Vendor.
- Payment for trade term purchasing will be managed by the Trusted Vendor outside the Platform. Credit Card payments can be made directly inside the platform between the Buyer to the Trusted Vendors linked Stripe account.
5. CREDIT CARD PAYMENT
The Buyer may pay for Product ordered from the Trusted Vendor by credit card on the Platform through the Connected Stripe Account. The Stripe processing fee will be charged to the Trusted Vendor. This fee is set by Stripe, Domestic card charges are 1.75% + A$0.30 on every successful card charge. Kartable does not take any commission on sales. An express payout option is available.
First time payouts can take between 7-14 days. Following that, payouts are available from Stripe “T+2”, meaning funds are available for payout from Stripe two business days after the transaction occurs.
6. MERCHANT OF RECORD
- The Trusted Vendor will be the Merchant of Record for all payments and transaction responsibilities in supplying Product to Buyers via the use of Kartable.
- In the event of a dispute between the Trusted Vendor and a Buyer, any chargebacks on credit card payments made by the Buyer will be dealt with between the Trusted Vendor and the Buyer, and Kartable will have no involvement.
7. TRUSTED VENDOR’S OBLIGATION
The Trusted Vendor:
- will supply its Product to Buyers in accordance with its Sale Terms;
- will provide its Sale Terms to Buyers via the Platform or publish its Sale Terms on its website for Buyers to view and accept;
- must collect information from Buyers in accordance with its privacy policy (which must be published on the Trusted Vendor's website) and all applicable privacy laws;
- supply its Product to Buyers and conduct the Transaction in accordance with its Sale Terms;
- will comply with Kartable’s Policies relating to the supply of Product on the Platform;
- will act honestly and in good faith in its dealings with Kartable;
- will promptly respond to requests for information from Kartable, subject to any supervening privacy or confidentiality obligations owed by the Trusted Vendor to the Buyer;
- will maintain adequate records in respect of the supply of Product on the Platform and the conduct of each Transaction;
- will notify Kartable immediately in writing if the Trusted Vendor cannot supply Product on the Platform;
- will notify Kartable immediately in writing of any insolvency or bankruptcy proceedings that have been commenced against the Trusted Vendor or its officers;
- will hold and maintain professional indemnity insurance and product liability insurance for the supply of Product on the Platform and provide certificates of currency to Kartable on request;
- warrants that the Trusted Vendor will keep strictly confidential any document or information obtained by the Trusted Vendor from Kartable with respect to this Agreement or the Platform;
- warrants that it has the right to sell Product to Buyers;
- acknowledges that any breach of this Agreement may result in loss (including but not limited to consequential loss) and damage to Kartable, whether directly or indirectly from such breach;
- will perform the Trusted Vendor’s duties and obligations in a professional manner and strictly in accordance with any laws, rules, standards or regulations including but not limited to the Competition and Consumer Act 2010 (Cth) and all applicable Australian Standards; and
- will supply its Product to each Buyer under its Sale Terms and agrees that Kartable is not a party to any contract between the Trusted Vendor and a Buyer.
8. SUPPORT
If requested by the Trusted Vendor, Kartable may agree to assist with supporting services to improve the Trusted Vendor or Buyer experience but is under no obligation to do so.
9. CUSTOMER CLAIMS
Kartable accepts no liability for any Claim between the Trusted Vendor and a Buyer with respect to the supply of Product or the conduct of a Transaction. The Trusted Vendor agrees that any such Claim will be governed by the Sale Terms and applicable law and will be the sole responsibility of the Trusted Vendor.
10. INTELLECTUAL PROPERTY
10.1. The Trusted Vendor acknowledges that Kartable owns or is licensed to use all intellectual property rights relating to:
- the Platform;
- any proprietary software made available to the Trusted Vendor for use; and
- all content on the Platform.
10.2. The Trusted Vendor may only use the Platform, Kartable software and the Platform’s content for the purpose of supplying Product to Buyers. Any other use, copying or reproduction of the Platform, Kartable software or the Platform’s content is prohibited, except to the extent permitted by law.
10.3. By using the platform, the Trusted Vendor confirms they have all rights and permissions to the intellectual property they place on Kartable.
11. WARRANTIES
- Each party warrants to the other that it has the power to enter into this Agreement and to perform its obligations under this Agreement.
- Each party warrants that it has been given the opportunity to seek independent legal advice in relation to this Agreement, and that it has either received such advice or declined to receive it, and in either event freely enters into this Agreement in complete understanding of all its terms and the effect of its terms.
12. LIMITATION OF LIABILITY AND INDEMNITY
12.1. The Trusted Vendor assumes all liability and responsibility for the sale of Product to Buyers and the conduct of Transactions.
12.2. Kartable will be in no way be liable or responsible for any Product supplied to Buyers by the Trusted Vendor on the Platform, including (without limitation) any representation made by the Trusted Vendor to a Buyer or any third party.
12.3. The Trusted Vendor indemnifies and holds harmless Kartable, its directors, officers, agents, employees and contractors from all Claims arising out of:
- any person's use of Product supplied to Buyers via the Platform;
- any falsehood, error or inaccuracy contained in any information the Trusted Vendor, or the Trusted Vendor’s agents, employees, officers or contractors, provide to Kartable or to any Buyer;
- the Trusted Vendor’s breach of any applicable laws, including (but not limited to) the Competition and Consumer Act 2010 (Cth) and Australian Standards; or
- the Trusted Vendor’s breach of any of the Trusted Vendor’s obligations or warranties specified in this Agreement.
The Trusted Vendor agrees that the terms of this indemnity are fair and reasonable in the circumstances where Kartable is merely the facilitator of an online platform and the Trusted Vendor is in the best position to highlight, manage and mitigate the risks associated with using the Platform and supplying Product.
12.4. The Trusted Vendor must immediately pay to Kartable, on demand, all reasonable legal costs or other expenses incurred by Kartable in dealing with a Claim arising from Product supplied by the Trusted Vendor or any Transaction.
13. GENERAL
13.1. The Trusted Vendor has ultimate responsibility for management and direction in relation to the supply of Product and the conduct of Transactions.
13.2. Nothing in this Agreement is intended to create, or is evidence of, a relationship between Kartable and the Trusted Vendor of employment, partnership, agency or joint venture. The Trusted Vendor is an independent third-party contractor.
13.3. The Trusted Vendor must not, and ensure that its employees, agents and contractors must not, without prior specific written authorisation by Kartable:
- charge debts or accounts in the name of Kartable;
- commit Kartable to contracts and arrangements of any kind;
- release or discharge debts due to Kartable; or
- act or speak on behalf of, or bind Kartable, in any way.
13.4. The Trusted Vendor must provide any equipment, know-how or support required to supply Product in accordance with this Agreement.
13.5. Without limiting any part of this Agreement, if Kartable reasonably forms the view that the standard or quality of Product supplied by the Trusted Vendor is unacceptable or breaches any law:
- the Trusted Vendor must immediately rectify the Product on notice from Kartable; or
- Kartable may immediately terminate this Agreement without further liability.
13.6. Each party will take all steps, execute all documents, and do all acts and things, as may reasonably be required by the other party, to give effect to the transactions contemplated by this Agreement.
13.7. The provisions of this Agreement will not merge on completion of any transaction contemplated in this Agreement and, to the extent any provision has not been fulfilled, it will remain in force.
13.8. This Agreement contains the entire understanding and terms between the parties with respect to its subject matter. It sets out the only conduct relied on by the parties and supersedes all earlier representations and conduct made by, or existing between, the parties with respect to its subject matter.
13.9. Kartable may assign and novate its rights and obligations under this Agreement to any third party and the Trusted Vendor hereby provides its consent for Kartable to do so. The Trusted Vendor must not assign or novate its rights and obligations under this Agreement without Kartable’s prior written consent.
13.10. No failure to exercise, and no delay in exercising, any right, power or remedy under this Agreement will operate as a waiver. No single or partial exercise of any right, power, or remedy will preclude any other, or further, exercise of that, or any other, right, power or remedy.
13.11. Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction will be read down and then severed in that jurisdiction, to the extent of the prohibition or unenforceability of that provision, and the remainder of the Agreement shall remain in force.
13.12. This Agreement is governed by the laws of Queensland. The parties submit to the non-exclusive jurisdiction of courts exercising jurisdiction in that state.
13.13. Unless another method of service is required by law, all notices and correspondence between parties is validly served if sent by email.
13.14. Kartable may change its Policies or this Agreement by giving the Trusted Vendor at least 30 days prior written notice before the changes take effect. Such notice may be posted on the Kartable website or sent to the Trusted Vendor by email. If the Trusted Vendor does not agree to the changes, it may immediately terminate this Agreement by either requesting that Kartable close the Trusted Vendor's account on the Platform or by cancelling its billing, provided that the Trusted Vendor must complete any existing Product orders with Buyers. If no such action is taken, the Trusted Vendor will be deemed to have accepted the changes.
